                               AVON RUBBER PLC

On 17 Feb, 2004, 1718 ordinary shares of £1 each in the Company were transferred
by Avon Rubber Quest Limited, as Trustee of the Avon Rubber Qualifying Employee
Share Ownership Trust, to satisfy options exercised by an employee under the
Company's Sharesave Option Scheme 1992. As a result of the transfer, the
Executive Directors listed below, who are beneficiaries of the Trust,
technically ceased to have an interest in the 1718 ordinary shares of £1 each of
the Company.
