Directors' Interests in Shares
As disclosed in the 2004 annual report, awards representing 90% of the maximum
possible award under the 2001/2 Performance Share Plan vested to the Executive
Directors and other senior employees of the company on 8 December 2004.
The company yesterday received valid notices to exercise all of these options
and accordingly 683, 525 shares were transferred from the Employee Share
Ownership Trust to the relevant PSP participants.
In order to facilitate the payment of tax and National Insurance liabilities the
PSP participants sold the relevant portions of their awards. In addition, a
small number of further sales were carried out for personal reasons. In
accordance with the new shareholding guidelines referred to in the annual report
all the Executive Directors retained at least 2/3 of their after tax awards and
they intend to build up a shareholding equivalent to 1.5 times base salary.
The table below sets out the total number of shares awarded to the Executive
directors, total disposals, the net increase in the shares owned by the relevant
directors and their total shareholdings following these transactions.

Ownership Trust reduced from 1,350,000 shares to 666,475 shares.
