Today, 90,486 ordinary shares of £1 each in the Company were allotted and issued
to Avon Rubber Quest Limited, as trustee of Avon Rubber Quest Limited, at a
subscription price of £5.05 per share pursuant to the Company's Sharesave Option
Scheme 1992.  As a result of the allotment and issue, the Executive Directors
(listed below), all technically have an interest in the 90,486 ordinary shares
of £1 each in the Company as the beneficiaries of the trust include all
employees of the group including these Directors.

To Company Announcements Office

On 1st October 1999, 1873 ordinary shares of £1 each in the Company were
transferred by Avon Rubber Quest Limited, as Trustee of the Avon Rubber
Qualifying Employee Share Ownership Trust, to satisfy options exercised by
employees under the Company's Sharesave Option Scheme 1992.  As a result of the
transfer, the Executive Directors listed below, we are beneficiaries of the
Trust, technically ceased to have an interest in the 1873 ordinary shares of £1
each of the Company.
