                      Resolutions Passed

Avon   Rubber  p.l.c.  (the  'Company')  announces  that   the
resolutions proposed at today's Extraordinary General Meeting,
Separate  Class Meeting of Ordinary Shareholders and  Separate
Class Meeting of Preference Shareholders have been passed.

The  Company  confirms  that  cheques  for  the  repayment  of
Preference  Shares  are expected to be  posted  to  Preference
Shareholders on 27 April 2001.
