                           Termination of discussions


On 26 October 2001, the Directors of Avon Rubber announced that they had
received a very preliminary expression of interest that may or may not lead to
an offer being made for the Company.

The Directors of Avon Rubber announce that discussions that may have led to an
offer being made for the Company have now terminated.

The Board remains focused on delivering shareholder value and is confident that
the disposal programme and cost reduction measures which have been initiated
will lead to a continued improvement in operating performance.

An update on the current trading performance will be given at the Annual General
Meeting to be held on Monday 4 February 2002.
