                    RIS Announcement - Transparency Directive 

                         Avon Rubber p.l.c. (the Company).

In conformity with the Transparency Directive, the Company would like to notify
the market of the following:

The issued share capital of the Company as at the date hereof is 28,339,963
ordinary shares of £1 each with voting rights and this number may be used by
shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to their
interest in, the Company under the FSA's Disclosure and Transparency Rules.
