Entry into placing agreement

Axiom European Financial Debt Fund Limited (the "Company") has today entered into a placing agreement (the "Placing Agreement") with Winterflood Securities Limited ("Winterflood") and Axiom Alternative Investments SARL, pursuant to which Winterflood has agreed to act as agent for the Company to use its reasonable endeavours to procure subscribers for Shares pursuant to any Placing under the Placing Programme.

The Placing Agreement is in substitution for the placing agreement entered into with the Company's previous financial adviser and bookrunner, and is on terms that are substantially similar to those of that previous agreement (which is described in more detail in paragraph 6 of Part 6 of the prospectus published by the Company on 8 May 2017 (the "Prospectus")).
