Axis Intermodal was notified on 16 May 2006 that GA Intermodal Equipment
Limited, a company in which George Canvin, Director, has a beneficial interest
sold 854,816 ordinary shares of 5p each in the Company ('Ordinary Shares'), at
6p per Ordinary Share. The shares were acquired as follows:

   •Sphere Investments Limited (a company owned and controlled by Steve Ball,
    Director): 538,150 Ordinary Shares;

   •Mavis Anne Clemson (wife of Ernie Clemson, Director): 166,666 Ordinary
    Shares;

   •Nicholas Smith (Director): 100,000 Ordinary Shares; and

   •Union Pension Trustees Limited (pension trustees for Robert Montague,
    Director): 50,000 Ordinary Shares.

Following this announcement the interests of the aforementioned directors in the
share capital of the Company is as follows:
