Placing Programme
Axiom European Financial Debt Fund Limited ("Axiom" or the "Company") today announces that it has published a prospectus approved by the UK Listing Authority relating to the creation of a placing programme (the "Placing Programme") pursuant to which the Company will be able to issue up to 500 million new ordinary shares of no par value ("Shares").
The Placing Programme will enable the Company to raise capital in an efficient and cost-effective manner over the next 12 months. The Placing Programme Price will include at the time of allotment a premium to the Net Asset Value per Share intended, inter alia, to cover the costs and expenses of the relevant placing of Shares (including, without limitation, any placing commissions).
The Prospectus will shortly be available on the national storage mechanism at www.morningstar.co.uk/uk/NSM and will also be available on the Company's website at http://www.axiom-ai.com/.
Capitalised terms used in this announcement shall have the same meanings as defined in the Prospectus unless otherwise defined herein.
Highlights:
· The Placing Programme is intended to enable the Company to raise additional capital through the issue of up to 500 million Shares in the period from 8 May 2017 to 7 May 2018 (or, if sooner, the date on which the Placing Programme is fully utilised).
· Funds raised from the Placing Programme will be used for investment in Financial Institution Investment Instruments in accordance with the Company's investment policy and are expected (but without restricting the Company) in particular to be deployed in the liquid relative value and less liquid relative value strategies.
· Liberum Capital Limited ("Liberum") has been appointed as Sole Financial Adviser and Bookrunner in relation to the Placing Programme.
· All Shares issued pursuant to the Placing Programme will, when issued and fully paid, confer the right to receive all dividends or other distributions made, paid or declared, if any, by reference to a record date after the date of their issue.
