                               Acquisition of MEF





Babcock International Group PLC ('Babcock') announces that it has
acquired MEF, the marine services business based in Southampton, for £1.8m,
payable in cash.  MEF's principal customer is the Royal Fleet Auxiliary.



Commenting, Peter Rogers, Chief Operating Officer of Babcock, said 'The
acquisition of MEF will allow us to extend still further the range of technical
support services that we can offer the Ministry of Defence and other customers'.
