BABCOCK INTERNATIONAL GROUP PLC





Babcock International Group PLC announces that at the Extraordinary General
Meeting (the 'EGM') of the Company held earlier today, the ordinary resolution
set out in the notice of EGM dated 16 February 2001 approving the proposed
acquisition of Hunting Defence Services was duly passed.



Completion of the acquisition in accordance with the terms of the acquisition
agreement is expected to occur on Friday, 9 March 2001.
