BABCOCK INTERNATIONAL GROUP PLC
FINAL REDEMPTION OF 'B' SHARES
Babcock International Group PLC (the 'Company') announces that it is today
writing to the holders of its remaining redeemable 'B' Shares informing them
that the remaining 3,747,563 'B' Shares will be compulsorily redeemed on 23
October 2001 at their nominal value of 18 pence each, together with the accrued
dividend of 0.35792 pence per 'B' Share payable on that date.
The 'B' Shares were issued in October 2000 to effect a return of capital of
approximately £30.6 million announced by the Company on 15 September 2000.
Approximately 97.8% of the 'B' Shares originally issued have already been
redeemed.
Cheques for the redemption proceeds will be sent to certificated and
uncertificated shareholders at their registered addresses on 26 October 2001.
