Babcock International Group PLC received notification today that as at 26
March 2001, Lazard Freres & Co LLC, doing business as Lazard Asset Management,
and its subsidiaries have an interest in 6,838,362 Ordinary Shares of 50p each
in the Company, representing 4.672% of the issued Ordinary Share capital of
the Company. This interest is held as follows:

Lazard Freres & Co LLC                          4,012,197 (2.741%)
Lazard Asset Management Ltd                     2,826,165 (1.931%)
