NOTIFICATION OF MAJOR INTERESTS IN SHARES


In accordance with DTR 5 of the Transparency Obligations Directive (Disclosure
and Transparency Rules) Instrument 2006, Lloyds TSB Group plc has notified
Babcock International Group PLC ('the Company') on 16 March 2007 that Lloyds TSB
Group plc had an overall interest in 8,454,382 shares of the Company,
representing 4.031% of the total voting rights.
