FURTHER REDEMPTION DATE FOR 'B' SHARES
Babcock International Group PLC (the 'Company') announces that it has written to
the holders of its remaining redeemable 'B' Shares giving notice of a redemption
date on 23 April 2001 (the 'Redemption Date'), when holders of the remaining 'B'
Shares will be entitled to elect to have some or all of their 'B' Shares
redeemed at their nominal value of 18 pence each.
The Company may at its discretion redeem the 'B' Shares at any time after 23
April 2001 and will be obliged to do so not later than 23 October 2002.
Holders of 'B' Shares who wish 'B' Shares to be redeemed on the Redemption Date
must ensure that the redemption form or CREST instruction is received by
Computershare Services PLC by no later than 4.30 pm on Friday, 20 April 2001.
With effect from the Redemption Date the dividend on the redeemed 'B' Shares
will cease to accrue. Holders of 'B' Shares who redeem 'B' shares on the
Redemption Date will receive a dividend payment in respect of the accrued
dividend entitlement up to the Redemption Date. All 'B' Shares which are
redeemed will be cancelled.
Payment will be settled through the CREST system or, for certificated holders,
cheques will be despatched, no later than Friday, 27 April 2001.
