                         REDEMPTION OF 'B' SHARES

Babcock International Group PLC (the 'Company') announces that 11,631,241 of its
remaining 'B' Shares were redeemed on 23 April 2001. The Company may, at its
discretion, redeem the remaining 3,747,563 'B' Shares at any time and will be
obliged to do so not later than 23 October 2002.

Payment on the 'B' Shares redeemed on 23 April 2001 will be settled through the
CREST system or, for certificated holders, cheques will be despatched, no later
than Friday, 27 April 2001.
