BAE Systems plc

Application has been made to the UK Listing Authority for the listing of, and to
the London Stock Exchange for the Admission of 13,870,914 Ordinary Shares of
2.5p each fully paid, ranking pari passu with the existing ordinary shares, to
the Official List.

10,945,854 of these shares will be issued following the exercise of options
under the BAE Share Option Plan 2001, and 2,925,060 of these shares will be
issued following the exercise of options under the BAE JV Share Option Plan
2001.

Copies of this brochure are available for inspection from the Document Viewing
Facility of the UK Listing Authority during the next two business days and from
