BAE Systems Plc (the 'Company')

Application has been made for 2,929,867 ordinary shares of 2.5p each in the
Company to be admitted to the Official List of the UK Listing Authority and to
trading on the London Stock Exchange. The shares will be issued fully paid and
will rank pari passu in all respects with the existing ordinary shares of the
Company.

These shares are being issued pursuant to the conversion of 6,116,123 7.75p net
Cumulative Convertible Preference Shares into 2,929,867 Ordinary Shares of 2.5p
each.
