                               Additional Listing

A block listing application has been made by BAE Systems plc (the 'Company') for
30,000,000 ordinary shares of 2.5p each in the Company to be admitted to the
Official List of the UK Listing Authority and to trading on the London Stock
Exchange. The shares will be issued fully paid and will rank pari passu in all
respects with the existing issued ordinary shares of the Company.

Of the 30,000,000 shares, 14,700,000 shares will be issued pursuant to BAE Share
Option Plan 2001; 4,300,000 shares will be issued pursuant to BAE JV Share
Option Plan 2001; and 11,000,000 shares will be issued pursuant to BAE Systems
All Employee Share Schemes.
