NOTIFICATION OF TRANSACTION OF PERSON DISCHARGING MANAGERIAL RESPONSIBILITIES OR
THEIR CONNECTED PERSONS

Notification made in accordance with Section 793 of the Companies Act 2006 and
rule 3.1.4(1)(a) of the Disclosure Rules and Transparency Rules.

The Company has today been notified that on 9 August 2007 George Rose, a Person
Discharging Managerial Responsibility ('PDMR'), exercised an option over 435
ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems SAYE
Share Option Scheme at an option price of 156 pence per share.  The shares
deriving from the exercise of the option shall be held in the name of Lloyds TSB
Registrars Corporate Nominee Limited.
