NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

(i) The Company was notified yesterday that:

(a) the following Persons Discharging Managerial Responsibilities ('PDMRs') had a tranche of vested shares automatically released on 14 April 2009 at nil consideration under the BAE Systems Performance Share Plan, whilst some of the shares under the same contingent award lapsed on account of the related performance condition not having been fully met. A number of the shares in the tranche that vested were subsequently disposed of as indicated below and the transactions took place on the London Stock Exchange.

One of the PDMRs exercised vested shares under this option, at nil consideration, and subsequently disposed of some of the shares (the transaction taking place on the London Stock Exchange), also as set out below.
