NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified on 28 March 2011 by the trustee of the BAE Systems ESOP

Trust, IFG Trust (Jersey) Limited, that on 28 March 2011:

(i) Contingent Awards over Matching Shares (being ordinary shares of 2.5p each in BAE Systems plc) were automatically released under the BAE Systems Share Matching Plan, together with additional shares deriving from the notional dividends on these awards which have accrued during the three year performance period, to the following Persons Discharging Managerial Responsibilities (PDMRs) as set out below, the related performance condition having been met.  No consideration was paid for the acquisition of these shares.  The shares were sourced from treasury shares.  Some of the shares were subsequently disposed of on 28 March 2011, as set out below, to cover related taxes on release.  The relevant shares were disposed of at a consideration of 328.7 pence per share and these transactions took place on the London Stock Exchange.

(ii) Conditional awards over ordinary shares of 2.5 pence each in BAE Systems plc were automatically released under the BAE Systems Performance Share Plan, together with additional shares deriving from the notional dividends on these awards which have accrued during the three year performance period, to the following PDMRs, the related performance condition having been met.  No consideration was paid for the acquisition of these shares.  The shares were sourced from treasury shares.  Some of the shares were subsequently disposed of on 28 March 2011 as indicated below, to cover related taxes on release.  The relevant shares were disposed of at a consideration of 328.7 pence per share and these transactions took place on the London Stock Exchange.
