NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified today that Alastair Imrie, a Person Discharging Managerial Responsibilities:

1.   exercised an option over 44,141 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Performance Share Plan at nil consideration on 14 June 2011 and subsequently disposed of those shares at a price of 315.4 pence per share; and

2.   disposed of 87,753 ordinary shares of 2.5 pence each in BAE Systems plc at a price of 314.8 pence per share on 14 June 2011. 

The transactions took place on the London Stock Exchange.
