Sir Ronald Hampel

After twelve years on the Board of Directors of BAE SYSTEMS plc, Sir Ronald
Hampel will be retiring from the Company's Board on 31 May 2002, this being his
seventieth birthday.

Sir Richard Evans, Chairman of BAE SYSTEMS, said 'Sir Ronald has made an
outstanding contribution to the Board in the twelve years that he has been with
the Company providing British Aerospace and latterly BAE SYSTEMS with greatly
valued guidance and assistance.'
