Letter to Company Announcements Office

I write to advise you that Michael Lester, a Director of the Company, has
exercised options in the GEC savings related share scheme and as a result
1,695 ordinary shares and 535 Capital Amortising Loan Stock units have been
transferred to him from a trust created to hold interests for former GEC
shareholders.  The trust holds shares in both British Aerospace Plc and 
Marconi Plc and enables former GEC employees to still exercise GEC savings
related share options and receive stock in the same proportions as that 
received by former GEC shareholders following the completion of the GEC 
scheme of arrangement last year.
