Extraordinary General Meeting - Result of Poll
At an Extraordinary General Meeting (EGM) held earlier today, the shareholders
of BAE Systems passed a resolution approving the proposed acquisition of United
Defense Industries Inc. (UDI). Earlier in the week, UDI stockholders also
approved the proposed acquisition.
The transaction has also been approved by the Committee on Foreign Investment in
the United States and by regulatory authorities in Sweden, Turkey, Germany and
Norway. The United States Department of Justice is continuing to review the
transaction under the Hart-Scott-Rodino Act. Subject to regulatory approval, the
parties continue to anticipate closing in mid-2005.
Also at today's EGM, shareholders passed a resolution approving the variation of
the borrowing powers contained in the Company's Articles of Association.
The voting on the resolutions was as follows:
