At the Annual General Meeting to be held on 10 December 2008, it is proposed that new Articles of Association be adopted in order to update Baillie Gifford Japan's existing Articles of Association to take account of changes in UK company law brought about by the implementation of the Companies Act 2006. A summary of the proposed changes to the existing Articles of Association is set out in the appendix to the Report and Accounts for the year ended 31 August 2008. The proposed new Articles of Association are available for inspection at the Company's registered office, Calton Square, 1 Greenside Row, Edinburgh, EH1 3AN and at the offices of Dickson Minto LLP, 22/25 Finsbury Square, London, EC2A 1DX.
