Publication of a circular
In order to meet the continuing demand for shares in Baillie Gifford Shin Nippon PLC (the "Company"), the Board of Directors of the Company (the "Board") is seeking shareholder approval to renew the authority to allot shares in the capital of the Company on a non pre-emptive basis.
Accordingly, the Company has today published a circular convening a general meeting (the "General Meeting") at which a special resolution will be put to shareholders to seek the additional authority to allot shares on a non-pre-emptive basis up to an aggregate nominal amount of £594,414.96 (amounting to 29,720,748 ordinary shares of 2 pence each) representing approximately 10 per cent. of the Company's issued share capital as at 8 December 2020 (the "Resolution"). The authority conferred by this Resolution will lapse on the conclusion of the next annual general meeting of the Company to be held after the passing of this resolution.
The Board believes that the authority sought at the General Meeting will allow it to continue to satisfy the expected demand for the Company's shares in the period from the General Meeting to the Company's next annual general meeting.
A copy of the circular is available for inspection on the Company's website at www.shinnippon.co.uk . A copy of the circular will also be submitted to the National Storage Mechanism and will be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism .
