Conversion of Subscription Shares

Schroder UK Growth Fund plc announces that it has issued 7,368,010 ordinary shares following the exercise of conversion rights by a number of subscription shareholders. The ordinary shares will rank pari passu with the Company's existing ordinary shares and commenced trading yesterday.

Following this issue of shares there are 163,275,105 ordinary shares and 21,401,882 subscription shares in issue in the Company.
