Purchase of Own Shares for Holding in Treasury During a Closed Period
Schroder UK Growth Fund plc (the "Company") announces that it is satisfied, based on the factors set out in (i) to (v) below, that all inside information which the Directors and the Company might have had up to 1 December 2017 has previously been notified to a Regulated Information Service ("RIS"). The Company is therefore not prohibited from purchasing shares to be held in Treasury during the current closed period (as defined by the EU Market Abuse Regulation), which ends on the date of the announcement of the Company's results for the half year ended 31 October 2017.
The factors referred to above are as follows:
(i) the announcement on 1 November 2017 of the net asset value per share as at the close of business on 31 October 2017;
(ii) the Company's belief, following reasonable enquiries, that there will be no material difference between the information published on 1 November 2017 and that to be included in the forthcoming announcement of its half year results;
(iii) the Company's practice of calculating its net asset value per share each business day and the announcement of such net asset values via an RIS;
(iv) there being no other unpublished information which constitutes price-sensitive information in respect of the Company's securities; and
(v) there being no unquoted investments within the Company's portfolio.
The closed period will end on announcement of the Company's half year results. If during the period leading up to the announcement of the half year results the Company or its Directors come into possession of any inside information, such inside information will be notified to an RIS in accordance with the EU Market Abuse Regulation.
