PURCHASE OF OWN SHARES

Schroder UK Growth Fund plc ("the Company") announces that on 19 August 2016 the Company purchased 50,000 ordinary shares at a price of 161.92 pence per share, to be held in treasury.

Following this purchase, the Company's issued share capital consist of 159,713,184 ordinary shares of 25p each, and an additional 1,204,000 ordinary shares held in treasury. Accordingly, the total number of voting rights in the Company is 159,713,184.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
