Voting Rights and Capital

In accordance with Disclosure and Transparency Rule 5.6.1, Schroder UK Growth Fund plc ("the Company") announces that its issued share capital consists of 161,883,790 ordinary shares of 25p each, with each share carrying the right to one vote, and 21,401,882 subscription shares of 1p each which carry no voting rights. The Company does not hold any shares in treasury; the total number of voting rights in the Company is therefore 161,883,790.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
