            Notification of Director's interests in ordinary shares
                    pursuant to Disclosure Rule 3.1.4.R(1)(b)

The Company has on 26 September 2005 received notification that on 23 September
2005, the Trustees of the Balfour Beatty Employees' Trust purchased 178,084
ordinary shares of 50p each at a price of 319.89p each to satisfy awards under
the Performance Share Plan 2001.

The Executive Directors, Mr J L Cohen, Mr A L P Rabin, Mr I P Tyler, Mr A J
Wivell and Mr P J L Zinkin, are beneficiaries of the Trust along with other
employees and, as such, each Executive Director is deemed to be interested in
the 178,084 shares purchased by the Trustee.

As a result of this purchase, each Executive Director is deemed to have an
interest in a total of 889,758 shares now held by the Trust.
