Notification of Director's interests in ordinary shares pursuant
to Disclosure Rule 3.1.4.R(1)(b)

The Company has on 28 September 2005 received notification that on 27 September
2005, the Trustees of the Balfour Beatty Employees' Trust purchased 621,916
ordinary shares of 50p each at a price of 322.53p each to satisfy awards under
the Performance Share Plan 2001.
The Executive Directors, Mr J L Cohen, Mr A L P Rabin, Mr I P Tyler, Mr A J
Wivell and Mr P J L Zinkin, are beneficiaries of the Trust along with other
employees and, as such, each Executive Director is deemed to be interested in
the 621,916 shares purchased by the Trustee.
As a result of this purchase, each Executive Director is deemed to have an
interest in a total of 1,511,674 shares now held by the Trust.
