Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

On 26 July 2011, Balfour Beatty plc ("the Company") was informed of the following transfers of Ordinary Shares of 50p each in the Company ("Ordinary Shares"):

Mr P J L Zinkin (Director): 823 Ordinary Shares to his spouse, Mrs J M Zinkin; and

Mr P J L Zinkin (Director) and his spouse Mrs J M Zinkin: 5,652 Ordinary Shares out of their joint names to Mrs J M Zinkin.

The transactions referred to above took place in London.

As a consequence of these transfers, the total number of Ordinary Shares held by Mr Zinkin and any persons connected with him within the meaning of Section 252 of the Companies Act 2006 remains at 301,751 (0.044% of the Company's issued Ordinary Share capital).

This notification is made under DTR Rule 3.1.4.
