Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

Balfour Beatty plc (the "Company") was informed today by the Trustee of the Balfour Beatty Share Incentive Plan 2011 (the "SIP") that on 12 July 2012 each of the following Persons Discharging Managerial Responsibilities ("PDMRs") acquired the number of Ordinary Shares of 50p each ("Ordinary Shares") in the Company shown against his name at 289.3p per Ordinary Share through participation in the SIP:

Other PDMRs (Name: Number of Ordinary Shares)

The Company has also been informed of the following transfer of Ordinary Shares:

Mr P J L Zinkin: 366 Ordinary Shares out of his sole name into the joint names of Mr P J L Zinkin and his spouse, Mrs J M Zinkin.

Each of these transactions took place in London.
