Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

Balfour Beatty plc (the "Company") was informed today by the Trustee of the Balfour Beatty Share Incentive Plan 2011 (the "SIP") that on 14 March 2013 each of the following Persons Discharging Managerial Responsibilities ("PDMRs") acquired the number of Ordinary Shares of 50p each ("Ordinary Shares") in the Company shown against his name at 266.75p per Ordinary Share through participation in the SIP:

The Company was also informed today that on 14 March 2013, Mrs J L Tyler, spouse of Mr I P Tyler, a Director of the Company, sold 20,432 Ordinary Shares in the Company at 270.12p per Ordinary Share.

As a consequence, the total number of Ordinary Shares held by Mr Tyler and any persons connected with him within the meaning of Section 252 of the Companies Act 2006 is 106,163, comprising 0.015% of the Company's issued Ordinary Share capital.

Each of these transactions took place in London. 

This notification is made under DTR Rule 3.1.4.
