Director Shareholding

On 4 October 2002, Balfour Beatty plc ('the Company') was notified that each of
the following Executive Directors of the Company had acquired 50p Ordinary
Shares in the Company ('Ordinary Shares') on 3 October 2002 at a price of
131.5p.

Mr J L Cohen and his wife, Baroness Janet Cohen, each purchased 9,500 Ordinary
Shares, which will be registered in their respective names.  His total holding
of Ordinary Shares, including those registered in the name of his wife, is now
21,697.

Mr M K Eckersall purchased 10,000 Ordinary Shares, all of which will be
registered in his own name.  His total holding of Ordinary Shares is now 10,000.

Mr A L P Rabin purchased 7,500 Ordinary Shares, all of which will be registered
in his own name.  His total holding of Ordinary Shares is now 7,500.

Mr I P Tyler purchased 2,000 Ordinary Shares, all of which will be registered in
his own name.  His total holding of Ordinary Shares is now 3,000.

Mr M W Welton purchased 22,500 Ordinary Shares, all of which will be registered
in his own name.  His total holding of Ordinary Shares is now 32,500.

Mr A J Wivell purchased 10,000 Ordinary Shares, all of which will be registered
in his own name.  His total holding of Ordinary Shares is now 10,228.

In each case, the number of shares acquired constitutes less than 0.0001% of the
Company's issued Ordinary Share capital and each Director's respective total
shareholding also constitutes less than 0.0001% of the Company's issued Ordinary
Share capital.
