On 17 March 2003, Balfour Beatty plc ('the Company') was notified that Mr M W
Welton, an executive director of the Company, and his wife Mrs A L Welton, had
each purchased 7,000 Ordinary Shares on 14 March 2003 at a price of 140p per
share, which will be registered in their respective names. Mr Welton's total
holding of Ordinary Shares, including those registered in the name of his wife,
is now 46,500, which represents just over 0.01% of the Company's issued ordinary
share capital.
