Director Shareholding

On 30 May 2003, Balfour Beatty plc ('the Company') was notified of the following
transactions effected by an executive director of the Company in ordinary 50p
shares ('shares') in the Company.  As a result of these transactions, the
director concerned has increased his holding of shares in the Company:



On 29 May 2003 Mr A J Wivell acquired a further 10,000 shares in the Company,
taking his total holding of shares to 20,228, in addition to options over 15,340
shares.  This acquisition was made following the exercise by him on 28 May 2003
of options to acquire 50,000 shares at 110p each, granted on 9 November 1999,
and options to acquire 70,000 shares at 79p each, granted on 13 April 2000.  On
30 May 2003, following the exercise of these options, Mr Wivell sold 110,000
shares at a price of 191.3427p each.
