On 23 May 2003, Balfour Beatty plc ('the Company') was notified that each of the
following executive directors of the Company had exercised matured options to
acquire ordinary 50p shares ('shares') in the Company and had effected the
following dispositions of those shares.  As a result of these dispositions, each
of the directors concerned has increased his holding of shares in the Company:

On 23 May 2003 Mr A L P Rabin acquired a further 10,000 shares in the Company,
taking his total holding of shares in the Company to 17,500, in addition to
options over 23,498 shares.  This acquisition was made following the exercise by
him on 20 May 2003 of options to acquire 50,000 shares at 110p each (granted on
9 November 1999) and 70,000 shares at 79p each (granted on 13 April 2000).  On
23 May 2003 and following the exercise of these options, Mr Rabin sold 110,000
shares at a price of 189.7p each.

On 23 May 2003 Mr I P Tyler acquired a further 59,612 shares in the Company,
taking his total holding of shares in the Company to 62,952, in addition to
options over 6,180 shares.  This acquisition was made following the exercise by
him on 20 May 2003 of options to acquire 80,000 shares at 110p each (granted on
9 November 1999) and 100,000 shares at 79 pence each (granted on 13 April 2000).
On 23 May 2003 and following the exercise of these options, Mr Tyler sold
120,388 shares at a price of 189.7p each.

On 23 May 2003 Mr M W Welton acquired a further 90,106 shares in the Company,
taking his total holding of shares in the Company to 136,606, in addition to
options over 34,089 shares.  This acquisition was made following the exercise by
him on 20 May 2003 of options over 150,000 shares at 110p each (granted on 9
November 1999) and 150,000 shares at 79p each (granted on 13 April 2000).  On 23
May 2003 and following the exercise of these options, Mr Welton sold 209,894
shares at a price of 189.7p.

On 23 May 2003 Mr PJ L Zinkin acquired a further 14,669 shares in the Company
taking his total holding of shares in the Company to 20,000 shares, in addition
to options over 89,926 shares.  This acquisition was made following the exercise
by him on 20 May 2003 of options to acquire 100,000 shares at 79p each, granted
on 13 April 2000.  On 23 May 2003 and following the exercise of these options,
Mr Zinkin sold 85,331 shares at a price of 189.7p each.
