On 1 December 2004, Mr A L P Rabin, a director of the Company, exercised matured
options over 2,967 50p Ordinary Shares in the Company that were held under the
Company's Savings Related Share Option Scheme, having been granted on 6 October
1999.  The exercise price was 91p per 50p Ordinary Share.



Following this transaction, Mr Rabin holds 25,239 50p Ordinary Shares in the
Company, and options over a total of 16,662 50p Ordinary Shares in the Company.



On 1 December 2004, Mr P J L Zinkin, a director of the Company, exercised
matured options over 1,260 50p Ordinary Shares in the Company that were held
under the Company's Savings Related Share Option Scheme, having been granted on
6 October 1999.  The exercise price was 91p per 50p Ordinary Share.



Following this transaction, Mr Zinkin holds 51,049 50p Ordinary Shares in the
Company, 325 Cumulative Convertible Redeemable Preference Shares of 1p each in
the Company, and options over a total of 8,002 50p Ordinary Shares in the
Company.
