Balfour Beatty plc ("the Company") has received notice from AXA Investment Managers Limited, on behalf of AXA S.A. ("AXA"), that as at 22 October 2009, immediately before the closure of the Company's Rights Issue, AXA and its group of companies held 24,604,285 50p Ordinary Shares in the Company, which at that time represented 5.13% of the total voting rights of the Company.


Of the 24,604,285 50p Ordinary Shares, the Company has been advised that 3,694,787 (0.77%) comprised a direct interest in the Company's total voting rights and that 20,909,498 (4.36%) comprised an indirect interest in the Company's total voting rights as at that date.
