According to the established in the law in force, BANCO BILBAO VIZCAYA
ARGENTARIA, S.A. announces that, in accordance to the agreement reached a few
months ago, in the evening of May 4 2001 (Mexico time) BBVA has executed the
acquisition of the total ownership that Bank of Montreal held of BBVA Bancomer,
purchasing the last pack (312 million shares), once got the Mexican and Spanish
authorisations.

The acquisition has been carried out by means of a private transaction out of
market.

After that, BBVA holds the 48.5% of the stock capital of BBVA Bancomer.
