Banco Bilbao Vizcaya Argentaria, S.A. (BBVA) informs that today COMPASS
BANCSHARES INC (COMPASS) held a general meeting of shareholders where it
approved the acquisition by BBVA that was disclosed by BBVA as a relevant event
on February 16, 2007.

Therefore, BBVA currently expects to close the transaction and acquire 100% of
the share capital of COMPASS in September, 2007, subject to the receipt of all
remaining regulatory approvals and the fulfilment or waiver of other customary
closing conditions.
