Banco Bilbao Vizcaya Argentaria, S.A. (BBVA), notifies that, following the
change of the shareholder structure in BNL and the tender offer launched on said
company, BBVA, Assicurazioni Generali S.p.A. and  Dorint Holding S.A., have
decided to leave without effect as of today the shareholders'  agreement
executed on April 28, 2004, in relation to the Italian company Banca Nationale
di Lavoro, S.p.A. (BNL).
