                  FIFTH AND LAST INTERIM DIVIDEND FOR YEAR 2000

Banco Bilbao Vizcaya Argentaria, S.A. approved the distribution, to all the
shares that make the capital (3,195,852,043), of the fifth and last interim
dividend for year 2000, in the following manner:

Gross Dividend
0.111 euros

Witholding tax rate
18%

Business days
     Record:          April 9th, 2001
     Ex-Dividend:     April 10th, 2001
     Payment:         Upon April 10th, 2001

Payment procedure
The dividend perception will be carried out through the organizations members
of the Servicio de Compensacion y Liquidacion de Valores, SCLV (the security
settlement service of Spain).

This resolution will be announced the 1st of April of 2001 on the newspapers.
