Merger talks terminated
Banco Bilbao Vizcaya Argentaria SA
20 April 2001
Uno-e. and enba end merger plans
Madrid /Dublin, April 20, 2001.- Uno-e Bank, S.A. - the interactive bank
promoted by Banco Bilbao Vizcaya Argentaria, S.A. (BBVA) and Terra Networks,
S,A, and enba plc - the Dublin-based holding company for Internet financial
services businesses, announced today the end of the ongoing merger process
to create UnoFirst Group.
'After carefully analyzing the details of the operation and due to current
market conditions, we have together reached the conclusion that both our
companies need to focus on our respective core markets before undertaking any
further expansion. Both companies have the capability and are well positioned to
exploit new opportunities in the future following from their strong
achievements to date,' said Dr. Gerhard Huber, CEO of enba plc.
In the current market climate, it was going to be very difficult to develop
efficient synergies in the global online financial services arena. Without those
synergies, our competitive positions would eventually be seriously jeopardized.
That's why we are announcing the end of this project today'', added Manuel
Galatas, Chairman and CEO of Uno-e.
Galatas thanked Huber for the support and commitment given by his team and by
the shareholders of enba plc. Huber also thanked Galatas for the intensive
efforts made by BBVA, Terra and the Uno-e team in attempting to bring the
planned merger to fruition.
