Banco Bilbao Vizcaya Argentaria, S.A announces the agreement among Grupo
Nacional Provincial Pensiones, S.A de C.V., Banco Bilbao Vizcaya Argentaria,
S.A. and Provida Internacional, S.A. about the acquisition of 44.62% of the
share capital of PROFUTURO GNP S.A de C.V (Mexico) by the first company,
according to the announcement carried out in Mexico and the press release which
will be published after the present announcement, attached.

BBVA and its Chilean subsidiary PROVIDA will sell the 45% of the share capital
of Profuturo to GNP.
Grupo Nacional Provincial Pensiones, S.A de C.V, Banco Bilbao Vizcaya
Argentaria, S.A and Provida Internacional, S.A reached an agreement in virtue of
which the first company will buy the 44.62% of the share capital of Profuturo
GNP, S.A de C.V ('Profuturo').
The stipulated price is USD 190,527,400.0.
The operation will be fulfilled once the correspondent government authorisations
are obtained.
With this operation, BBVA fulfils the requirement established by the Comision
Federal de Competencia in the authorisation conferred for the merger of Grupo
Financiero BBVA Probursa and Grupo Financiero Bancomer.
BBVA agrees the sale of 45% of Profuturo to GNP at used 190 million (Peseta
35,600 million).
BBVA and its subsidiary Provida Internacional have agreed with Grupo Nacional
Provincial (GNP) the sale of 44% of the share capital of Profuturo GNP at USD
190.5 million (more the peseta 35.6 million).
The operation involves to value Profuturo in USD 427 million and will be
fulfilled once the correspondent government authorisations are obtained.
BBVA will sell the 44% of Profuturo owned direct and indirectly through its
subsidiary Provida Internacional to GNP, which owned the 56% of Profuturo.
The agreement responds the requirement established by the Comision Federal de
Competencia of Mexico in the authorisation conferred for the merger of Grupo
Financiero BBVA Probursa and Grupo Finacciero Bancomer, agreed last June.
After this operation, BBVA Bancomer continues as the first private pension fund
group in Mexico and BBVA as the first group in Latin America.
In Mexico, BBVA controls Afore Bancomer, the biggest private pension fund
management entity in the country, with a net worth of USD 3,506 million (peseta
655,622 million) and almost 2.8 million of participators, which means a Mexican
market share of 22.9% and 16.2%, respectively.
After the agreements reached lately with Aetna Internacional, BBVA controls
direct and indirectly the 100% of Afore Bancomer.
BBVA is the first group in Latin America in the managing of private pension
funds, with an equivalent share of 29.3% of the total private pension fund
patrimony. Being in nine countries, BBVA has more the 10.3 million of
participators and manages a total patrimony of USD 23,619 million (more than
4,400 billion).
