                 Additional Listing and Directors Shareholding

Application has today been made for the admission of 901,778 ordinary shares of
5p each to trading on the Alternative Investment Market of the London Stock
Exchange. These shares have been issued pursuant to the exercise of options.
Dealings in these new ordinary shares is expected to commence on 17 June 2002.

These options have been exercised by Directors of the Company. Mr Bill Humphries
has exercised 750,000 options at 10p per shares and will be beneficially
interested in 1,500,000 Brancote ordinary shares representing 2.20% of the
issued share capital. Mr David Dare has exercised 100,000 options at 18.25p per
share and 51,778 options at 61.7p per share and will be beneficially interested
in 331,458 Brancote ordinary shares representing 0.49% of the issued share
capital.
